1. Acceptance of Terms

Welcome to Matheonix! These Terms of Service ("Terms") govern your access to and use of Matheonix's website, mobile applications, and services (collectively, the "Platform"). By creating an account or using our Platform, you agree to be bound by these Terms.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE OUR PLATFORM.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Matheonix ("we," "us," or "our").

2. Eligibility and Account Requirements

2.1 Age Requirements

  • Users under 13 must have parental or guardian consent to use the Platform
  • Users aged 13-17 should have parental awareness of their Platform usage
  • Users 18 and older can create accounts independently
  • Schools and educational institutions can create accounts for students under their supervision

2.2 Account Creation

To use Matheonix, you must:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access or security breach

2.3 Account Types

  • Student Accounts: For individual learners practicing math skills
  • Teacher Accounts: For educators managing classrooms and tracking student progress
  • School Admin Accounts: For administrators managing school-wide access
  • Parent Accounts: For parents monitoring their children's progress (coming soon)

3. User Responsibilities and Conduct

3.1 Acceptable Use

You agree to use the Platform solely for lawful, educational purposes. You will NOT:

  • Violate any local, state, national, or international law
  • Share account credentials with others (except parent/guardian for minors)
  • Use automated tools (bots, scrapers) to access the Platform
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Upload malicious code, viruses, or harmful content
  • Harass, abuse, or harm other users
  • Impersonate another person or entity
  • Reverse engineer, decompile, or disassemble any part of the Platform
  • Use the Platform to cheat on official exams or assessments outside our system

3.2 Academic Integrity

Matheonix is designed as a learning tool. While you can use our AI tutor for help and guidance, you should not use it to complete graded assignments or exams for other courses without your instructor's permission. We encourage honest learning and personal growth.

4. Subscriptions, Payments, and Refunds

4.1 Subscription Plans

Matheonix offers various subscription plans:

  • Free Trial: Limited access to test the Platform (14 days or usage-based)
  • Individual Plans: Monthly or annual subscriptions for single users
  • School Plans: Bulk licensing for educational institutions

4.2 Billing and Payment

  • Subscriptions are billed in advance on a recurring basis (monthly or annually)
  • You authorize us to charge your payment method for all fees
  • Payment processing is handled securely by Stripe
  • Prices are subject to change with 30 days' notice
  • All fees are non-refundable unless otherwise stated or required by law

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel anytime through your account settings.

4.4 Cancellation and Refunds

  • You may cancel your subscription at any time
  • Cancellation takes effect at the end of your current billing period
  • You will retain access until the end of the paid period
  • No refunds for partial months or unused portions of subscriptions
  • Refunds may be provided at our discretion for technical issues or exceptional circumstances

4.5 Free Trial Limitations

Free trials are limited to one per user. We reserve the right to terminate free trials if we detect abuse or multiple account creation to extend trial periods.

5. Intellectual Property Rights

5.1 Our Content

All content on the Platform, including but not limited to:

  • Practice problems and exam questions
  • Educational materials and explanations
  • Software, code, and algorithms
  • Graphics, logos, and design elements
  • AI tutor responses and teaching methods

...are owned by Matheonix or our licensors and protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without our express written permission.

5.2 License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, educational purposes. This license terminates upon account cancellation or violation of these Terms.

5.3 User Content

You retain ownership of any content you create on the Platform (e.g., problem-solving work, custom exams). However, you grant us a worldwide, royalty-free license to use, store, and process this content to provide and improve our services.

6. Educational Services and AI Tutoring

6.1 Service Description

Matheonix provides:

  • AI-powered math tutoring and explanations
  • Practice problems across various math topics
  • Personalized learning paths and progress tracking
  • Exams and assessments
  • Teacher tools for classroom management

6.2 AI Limitations

Important: Our AI tutor is a supplemental learning tool and may occasionally:

  • Provide incorrect or incomplete explanations
  • Misunderstand complex or ambiguous questions
  • Offer alternative solution methods that differ from classroom instruction

We recommend students verify AI-generated responses with teachers or other authoritative sources. Matheonix is not a replacement for human instruction.

6.3 No Guarantees

While we strive to provide high-quality educational content, we do not guarantee specific learning outcomes, exam scores, or academic success. Student results depend on many factors beyond our control.

7. Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using Matheonix, you consent to our data practices as described in the Privacy Policy.

7.1 Educational Data

We collect educational data (practice attempts, scores, progress) to provide personalized learning. Teachers and school administrators may access student data within their classrooms/schools as described in the Privacy Policy.

8. Disclaimers and Limitation of Liability

8.1 "As-Is" Service

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability or fitness for a particular purpose
  • Warranties of non-infringement
  • Warranties that the service will be uninterrupted, secure, or error-free
  • Warranties regarding the accuracy or reliability of content

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATHEONIX SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from use or inability to use the Platform
  • Errors or inaccuracies in content or educational materials
  • Actions of other users or third parties

Our total liability to you for any claims arising from these Terms or the Platform shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

8.3 Third-Party Services

The Platform may contain links to third-party websites or integrate with third-party services (e.g., payment processors). We are not responsible for the content, privacy practices, or functionality of these third parties.

9. Indemnification

You agree to indemnify, defend, and hold harmless Matheonix, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:

  • Your violation of these Terms
  • Your violation of any law or rights of third parties
  • Your use or misuse of the Platform
  • Content you submit or share on the Platform

10. Termination and Suspension

10.1 Termination by You

You may terminate your account at any time by:

  • Going to account settings and selecting "Delete Account"
  • Contacting customer support at support@matheonix.com

10.2 Termination by Us

We reserve the right to suspend or terminate your account immediately, without notice, if:

  • You violate these Terms or our Privacy Policy
  • You engage in fraudulent or illegal activity
  • Your payment fails or account is past due
  • We discontinue the Platform or your subscription tier
  • Required by law or legal process

10.3 Effects of Termination

Upon termination, you will lose access to your account and all associated data. We may delete your content after 30 days. Sections of these Terms that should survive termination (e.g., intellectual property, disclaimers, indemnification) will remain in effect.

11. Modifications to Terms and Service

11.1 Changes to Terms

We may modify these Terms at any time. Changes will be effective immediately upon posting with an updated "Last Updated" date. For material changes, we will provide notice via:

  • Email to your registered address
  • Prominent notice on the Platform
  • In-app notification

Continued use of the Platform after changes constitutes acceptance of the updated Terms. If you disagree with changes, you must stop using the Platform and cancel your account.

11.2 Changes to Service

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the service.

12. Dispute Resolution and Governing Law

12.1 Governing Law

These Terms are governed by the laws of the United States and the State of [Your State], without regard to conflict of law principles.

12.2 Informal Resolution

Before filing a legal claim, you agree to contact us at support@matheonix.com to attempt to resolve the dispute informally. We will work in good faith to resolve issues.

12.3 Arbitration Agreement

If we cannot resolve a dispute informally, you agree that disputes will be resolved through binding arbitration rather than in court, except:

  • Small claims court actions
  • Intellectual property disputes
  • Claims that cannot be arbitrated by law

Arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. You and Matheonix agree to waive the right to a jury trial or class action.

12.4 Class Action Waiver

YOU AND MATHEONIX AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Matheonix regarding the Platform.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

13.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

13.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms to any affiliate or successor.

13.5 Force Majeure

We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet service disruptions.

15. Acknowledgment

BY USING MATHEONIX, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU DO NOT AGREE, YOU MUST NOT ACCESS OR USE THE PLATFORM.
